IMPORTANT LEGAL NOTICE
By accessing, browsing, or using the SPC Global Electronic marketplace platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety. If you do not agree with any part of these terms, you must immediately cease using our services and platform.
1. Acceptance of Terms
These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "Customer", "Buyer", "You") and SPC Global Electronic ("SPC", "Company", "We", "Us", "Our"), a wholesale electronics marketplace platform operating globally.
1.1 Scope of Agreement
This Agreement governs:
- Access to and use of the SPC Global Electronic website and mobile applications
- Purchase of products and services through our platform
- All communications between you and SPC
- Use of any tools, features, or functionality provided by SPC
- Any transactions conducted through our marketplace
- Interactions with third-party vendors on our platform
1.2 Modifications to Terms
SPC reserves the absolute right to modify, amend, update, or replace any part of these Terms at any time without prior notice. Changes become effective immediately upon posting to the website. Your continued use of the platform after changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically. We recommend checking this page monthly for updates.
1.3 Additional Terms
Certain services, features, or products may be subject to additional terms and conditions. Where additional terms apply, they will be made available to you and will form part of your agreement with us if you use those services, features, or products. In the event of conflict between these Terms and additional terms, the additional terms shall prevail with respect to that specific service, feature, or product.
2. Definitions and Interpretations
For the purposes of these Terms and Conditions, the following definitions shall apply:
"Platform"
Refers to the SPC Global Electronic website, mobile applications, APIs, and all associated digital services and infrastructure.
"User" / "Customer"
Any individual or entity that accesses, browses, registers, or transacts on the Platform.
"Vendor" / "Seller"
Third-party businesses or individuals who list and sell products through the Platform.
"Product"
Any electronic goods, hardware, software, accessories, or services listed for sale on the Platform.
"Order"
A purchase request submitted by a User through the Platform for one or more Products.
"Account"
A registered user profile created on the Platform containing personal information, order history, and preferences.
"Content"
All text, images, videos, data, information, software, and materials available on or through the Platform.
"Intellectual Property"
All trademarks, service marks, logos, trade names, patents, copyrights, designs, and proprietary information owned by SPC.
3. Account Registration and Security
3.1 Account Creation
To access certain features of the Platform, you must create an Account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your Account credentials.
- You must be at least 18 years old or the age of majority in your jurisdiction to create an Account
- You must provide a valid email address and phone number
- You must create a secure password meeting our minimum security requirements
- You may not use another person's Account without permission
- You may not create multiple Accounts for fraudulent purposes
- Business accounts must provide valid business registration documents
3.2 Account Security
You are entirely responsible for all activities that occur under your Account. You agree to immediately notify SPC of any unauthorized use of your Account or any other breach of security. SPC will not be liable for any loss or damage arising from your failure to comply with these security obligations.
3.3 Account Suspension and Termination
SPC reserves the right to suspend, disable, or terminate your Account at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms and Conditions
- Fraudulent, abusive, or illegal activity
- Providing false or misleading information
- Chargebacks or payment disputes
- Harassment of other users or SPC staff
- Attempting to circumvent security measures
- Extended period of inactivity (12+ months)
3.4 Know Your Customer (KYC) Requirements
For certain transactions, particularly high-value orders or withdrawals, SPC may require you to complete identity verification procedures. This may include providing government-issued identification, proof of address, business registration documents, and other information as reasonably requested. Failure to complete KYC verification may result in transaction delays, limitations, or account suspension.
KYC Verification Levels:
- Level 1 (Basic): Email verification and phone number confirmation. Transaction limit: $500 per transaction, $2,000 per month.
- Level 2 (Intermediate): Government-issued ID, proof of address, selfie verification. Transaction limit: $5,000 per transaction, $25,000 per month.
- Level 3 (Advanced): Enhanced due diligence, source of funds documentation, business verification for corporate accounts. Transaction limit: $50,000 per transaction, unlimited monthly volume.
- Level 4 (Institutional): Full corporate verification, beneficial ownership disclosure, compliance documentation, anti-money laundering (AML) screening. No transaction limits.
3.5 Account Verification Timeline
KYC verification processing times vary by level: Level 1 (instant to 24 hours), Level 2 (1-3 business days), Level 3 (3-7 business days), Level 4 (7-14 business days). Incomplete or unclear documentation may result in delays or rejection. You will be notified via email of verification status changes.
3.6 Account Monitoring and Compliance
SPC employs automated and manual monitoring systems to detect suspicious activity, fraud, money laundering, terrorist financing, and violations of these Terms. We may request additional documentation at any time to verify your identity, transaction legitimacy, or compliance with applicable laws. Suspicious activity may be reported to relevant authorities without prior notice to you.
3.7 Multi-Factor Authentication (MFA)
We strongly recommend enabling multi-factor authentication for enhanced account security. For high-value transactions or sensitive account changes, MFA may be mandatory. Supported MFA methods include SMS codes, authenticator apps (Google Authenticator, Authy), email verification codes, and biometric authentication where available.
3.8 Account Inactivity and Dormancy
Accounts with no login activity for 12 consecutive months will be classified as dormant. Dormant accounts may be subject to inactivity fees of $5 per month after 18 months of inactivity. Accounts inactive for 24+ months may be permanently closed, with any remaining wallet balance subject to escheatment laws in your jurisdiction. We will attempt to contact you via email before account closure.
4. Orders and Transactions
4.1 Order Placement
When you place an Order through the Platform, you are making an offer to purchase the Products at the prices displayed. All Orders are subject to acceptance by SPC and/or the Vendor. We reserve the right to refuse or cancel any Order for any reason, including but not limited to:
- Product unavailability or stock limitations
- Pricing or product description errors
- Suspected fraudulent or unauthorized transactions
- Failure to meet credit or payment requirements
- Restrictions on quantities available for purchase
- Geographic shipping restrictions
- Violation of export control regulations
4.2 Order Confirmation
After placing an Order, you will receive an email confirmation. This confirmation does not constitute acceptance of your Order. Acceptance occurs only when the Product is dispatched and you receive a shipping confirmation. Until acceptance, we reserve the right to cancel the Order without liability.
4.3 Order Modifications and Cancellations
Once an Order is placed, modifications may not be possible. You may request Order cancellation before shipment by contacting customer support. Cancellation requests are subject to approval and may incur fees. Orders cannot be cancelled once shipped. Refusal of delivery does not constitute cancellation and may result in return shipping charges.
4.4 Bulk and Wholesale Orders
Bulk orders (typically 50+ units) may be subject to additional terms, custom pricing, extended delivery times, and specific payment terms. Wholesale customers must maintain valid business credentials and may be required to provide resale certificates or tax exemption documentation. Minimum order quantities and values may apply.
Wholesale Account Requirements:
- Valid business registration or incorporation documents
- Tax identification number (EIN, VAT number, or equivalent)
- Resale certificate or tax exemption documentation (where applicable)
- Business bank account for payment processing
- Minimum annual purchase commitment may be required
- Credit application and approval for net payment terms
4.5 Pre-Orders and Backorders
Products available for pre-order or backorder are subject to availability and estimated delivery dates. Estimated dates are not guaranteed and may change due to manufacturer delays, supply chain disruptions, or other factors beyond our control. Payment for pre-orders may be charged at time of order placement or upon shipment, depending on the product. You may cancel pre-orders before shipment for a full refund, subject to our cancellation policy.
4.6 Order Verification and Fraud Prevention
All orders are subject to verification and fraud screening. We may contact you to verify order details, shipping address, payment information, or identity. Orders flagged by our fraud detection systems may be delayed, cancelled, or require additional verification. We reserve the right to refuse orders from customers with a history of chargebacks, payment disputes, or fraudulent activity.
4.7 Order Tracking and Communication
Once your order ships, you will receive tracking information via email. You are responsible for monitoring tracking information and being available to receive delivery. We will send order status updates via email and/or SMS (if opted in). Ensure your contact information is current to receive important order communications.
4.8 Split Shipments and Partial Orders
Orders containing multiple items may be shipped separately from different warehouses or vendors. You will not be charged additional shipping fees for split shipments unless you request expedited shipping for specific items. Partial shipments do not entitle you to cancel the remaining items unless the delay exceeds 30 days from the original estimated delivery date.
4.9 Order Documentation and Invoices
Commercial invoices, packing slips, and order confirmations are available in your account dashboard. For business accounts requiring specific invoice formats, customs documentation, or certificates of origin, please contact customer support at least 48 hours before shipment. Additional documentation fees may apply for complex international shipments.
5. Pricing, Fees, and Taxes
5.1 Product Pricing
All prices displayed on the Platform are in the currency specified (USD, EUR, NGN, etc.) and are subject to change without notice. Prices include applicable taxes unless otherwise stated. We make every effort to ensure pricing accuracy, but errors may occur. If a Product is listed at an incorrect price due to an error, we reserve the right to refuse or cancel Orders placed for that Product, even after Order confirmation.
5.2 Currency Conversion
If you choose to view prices in a currency other than the default, conversion rates are provided for convenience only and may not reflect real-time exchange rates. Final charges will be processed in the currency selected at checkout. Your financial institution may apply additional currency conversion fees.
5.3 Taxes and Duties
You are responsible for all applicable taxes, duties, customs fees, and import charges associated with your Order. For international shipments, additional customs duties, import taxes, and brokerage fees may apply and are the sole responsibility of the recipient. SPC is not responsible for delays caused by customs clearance procedures.
5.4 Service Fees and Charges
Additional fees may apply for certain services, including but not limited to:
- Express or expedited shipping
- Insurance coverage for high-value items
- Special handling or packaging requirements
- Payment processing fees for certain payment methods
- Currency conversion fees
- Restocking fees for returns
- Failed delivery attempt fees
5.5 Price Matching and Adjustments
SPC does not offer price matching with other retailers. Prices are subject to change without notice, and we are not obligated to honor pricing errors. If you discover a pricing error after placing an order, we reserve the right to cancel the order and issue a full refund. Price adjustments are not available for completed orders, even if the price decreases after your purchase.
5.6 Volume Discounts and Tiered Pricing
Verified business accounts may be eligible for volume-based pricing tiers. Pricing tiers are based on annual purchase volume: Bronze ($10,000-$49,999 annually, 2-5% discount), Silver ($50,000-$99,999 annually, 5-8% discount), Gold ($100,000-$249,999 annually, 8-12% discount), Platinum ($250,000+ annually, 12-15% discount plus dedicated account manager). Tier status is reviewed quarterly and may be adjusted based on purchase history.
5.7 Promotional Pricing and Coupons
Promotional codes, coupons, and discounts are subject to specific terms and conditions, including expiration dates, minimum purchase requirements, product exclusions, and usage limitations. Promotional codes cannot be combined unless explicitly stated. Promotional pricing is limited to available inventory and may be discontinued at any time. Abuse of promotional codes may result in order cancellation and account suspension.
5.8 Dynamic Pricing and Market Fluctuations
Prices for certain products may fluctuate based on market conditions, supply and demand, currency exchange rates, manufacturer pricing changes, and other factors. The price displayed at the time of order placement is the price you will be charged, regardless of subsequent price changes. For pre-orders and backorders, prices are locked at the time of order confirmation unless otherwise specified.
5.9 Government Fees and Regulatory Charges
Certain products may be subject to government-mandated fees, environmental charges, recycling fees, or regulatory surcharges. These fees are separate from product pricing and taxes and will be itemized at checkout. Examples include electronic waste recycling fees, battery disposal fees, and telecommunications regulatory charges. These fees are remitted to appropriate government agencies and are non-refundable.
6. Payment Terms and Methods
6.1 Accepted Payment Methods
SPC accepts various payment methods including credit cards, debit cards, bank transfers, cryptocurrency payments (via NOWPayments), and digital wallets. Payment must be received in full before Order processing. We reserve the right to limit or refuse certain payment methods based on risk assessment, geographic location, or transaction history.
6.2 Payment Authorization
By providing payment information, you represent and warrant that you are authorized to use the payment method and authorize SPC to charge the full amount of your Order. You agree to provide current, complete, and accurate payment information. We may verify payment information before accepting an Order.
6.3 Payment Security
All payment transactions are processed through secure, encrypted connections. SPC does not store complete credit card information on our servers. Payment data is handled by PCI-DSS compliant payment processors. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.
6.4 Failed Payments and Declined Transactions
If payment is declined or fails for any reason, your Order will not be processed. You are responsible for ensuring sufficient funds and valid payment information. Multiple failed payment attempts may result in Order cancellation and temporary account restrictions. We are not liable for any consequences resulting from payment failures.
6.5 Invoicing and Payment Terms for Business Accounts
Verified business accounts may be eligible for invoice-based payment terms. Net payment terms (Net 30, Net 60) are subject to credit approval and may require personal guarantees or security deposits. Late payments are subject to interest charges at the maximum rate permitted by law. Accounts with overdue invoices will be suspended until payment is received.
6.6 Chargebacks and Disputes
Initiating a chargeback without first attempting to resolve the issue with SPC customer support may result in immediate account suspension and legal action. Fraudulent chargebacks will be prosecuted to the fullest extent of the law. You agree to pay all costs associated with chargeback disputes, including legal fees and administrative costs.
Chargeback Consequences:
- Immediate account suspension pending investigation
- $50 administrative fee per chargeback (in addition to chargeback amount)
- Permanent account termination for fraudulent chargebacks
- Reporting to credit bureaus and fraud databases
- Legal action to recover losses, including attorney fees
- Blacklisting from future purchases on the Platform
6.7 Payment Processing Partners
We partner with third-party payment processors including Stripe, PayPal, NOWPayments (for cryptocurrency), and various regional payment providers. By using our Platform, you agree to be bound by the terms and conditions of these payment processors. We are not responsible for errors, delays, or failures caused by payment processors. Payment processor fees may be passed on to customers for certain payment methods.
6.8 Cryptocurrency Payments
Cryptocurrency payments are processed through NOWPayments and are subject to additional terms. Accepted cryptocurrencies include Bitcoin (BTC), Ethereum (ETH), USDT, USDC, and others as listed at checkout. Cryptocurrency payments are final and non-refundable due to blockchain immutability. Exchange rate is locked at time of payment initiation and valid for 15 minutes. You are responsible for all blockchain transaction fees. Refunds for cryptocurrency payments (if eligible) will be issued in the original cryptocurrency or USD equivalent at our discretion.
6.9 Payment Plan and Financing Options
Select products may be eligible for payment plans or financing through third-party providers. Financing is subject to credit approval and additional terms and conditions from the financing provider. Interest rates, fees, and repayment terms vary by provider and your creditworthiness. SPC is not a party to financing agreements and is not responsible for financing terms, disputes, or defaults. Failure to make financing payments may result in collection actions by the financing provider.
6.10 Wallet and Store Credit
SPC offers a digital wallet feature for storing funds, receiving refunds, and making purchases. Wallet funds are denominated in your selected currency and can be used for future purchases. Wallet balances do not earn interest and are not FDIC insured. Wallet funds may be subject to withdrawal limits and verification requirements. Inactive wallet balances may be subject to escheatment laws after the statutory dormancy period in your jurisdiction. Store credit issued for returns or promotions is non-transferable, non-refundable, and expires 12 months from issuance unless otherwise stated.
6.11 Payment Holds and Reserves
For high-risk transactions, new accounts, or orders exceeding certain thresholds, we may place a temporary hold on your payment method to verify funds availability. Holds typically release within 7-10 business days if the order is cancelled or rejected. For business accounts with net payment terms, we may require a security deposit or reserve equal to 10-50% of your credit limit. Reserves are held in a segregated account and returned upon account closure or credit limit increase, subject to no outstanding obligations.
7. Shipping, Delivery, and Logistics
7.1 Shipping Methods and Timeframes
Shipping methods, carriers, and delivery timeframes vary based on destination, product type, and selected shipping option. Estimated delivery times are provided for guidance only and are not guaranteed. Actual delivery times may vary due to factors beyond our control, including customs delays, weather conditions, carrier delays, and force majeure events.
7.2 Shipping Costs
Shipping costs are calculated based on weight, dimensions, destination, and selected shipping method. Shipping charges are displayed at checkout before Order completion. Free shipping promotions, if offered, may have minimum order value requirements and geographic restrictions.
7.3 Delivery and Risk of Loss
Risk of loss and title for Products pass to you upon delivery to the carrier. You are responsible for inspecting Products upon delivery and reporting any damage or discrepancies within 48 hours. Failure to report damage within this timeframe may result in denial of damage claims.
7.4 Failed Delivery Attempts
If delivery cannot be completed due to incorrect address, recipient unavailability, or refusal of delivery, additional fees may apply. Products returned to sender due to failed delivery may incur return shipping charges and restocking fees. You are responsible for providing accurate, complete delivery information.
7.5 International Shipping
International Orders may be subject to import duties, customs fees, and taxes imposed by the destination country. These charges are the sole responsibility of the recipient and are not included in the Product price or shipping cost. SPC is not responsible for delays caused by customs clearance or compliance issues.
International Shipping Considerations:
- Customs declarations are prepared based on order information; inaccurate information may cause delays
- Certain products may be restricted or prohibited in your country; you are responsible for compliance
- Delivery times for international shipments range from 7-45 business days depending on destination
- Tracking may be limited once shipment enters destination country postal system
- Refused shipments due to customs issues will incur return shipping charges
- Commercial invoices and certificates of origin available upon request
7.6 Shipping Insurance and Liability
Standard shipping includes basic carrier liability coverage (typically $100-$500 depending on carrier). For high-value shipments, we strongly recommend purchasing additional shipping insurance at checkout. Insurance costs typically range from 1-3% of declared value. Claims for lost or damaged shipments must be filed within 30 days of expected delivery date. Insurance claims require original packaging, photos of damage, and police report for theft claims.
7.7 Shipping Restrictions and Prohibited Destinations
We do not ship to PO boxes, APO/FPO addresses (except for verified military addresses), freight forwarders, or package forwarding services. Certain products cannot be shipped via air freight due to safety regulations (batteries, aerosols, flammable materials). We do not ship to countries under trade embargo or sanctions. Shipments to high-risk destinations may require additional verification and documentation.
7.8 Signature Requirements and Delivery Confirmation
Orders exceeding $500 require signature upon delivery. You may waive signature requirement at your own risk by providing delivery instructions. We are not liable for theft or loss of packages where signature was waived. For business addresses, delivery to reception or mailroom constitutes valid delivery. Residential deliveries require recipient presence or authorized signature.
7.9 Shipping Delays and Force Majeure
Estimated delivery dates are not guaranteed and may be affected by weather conditions, natural disasters, carrier delays, customs processing, pandemics, labor disputes, or other events beyond our control. We are not liable for consequential damages resulting from shipping delays. For time-sensitive orders, we recommend selecting expedited shipping and purchasing shipping insurance.
7.10 White Glove and Special Delivery Services
For large, heavy, or fragile items, white glove delivery service is available for an additional fee. White glove service includes inside delivery, unpacking, assembly (if applicable), debris removal, and placement in room of choice. Scheduling is required and typically occurs within 2-4 weeks of order placement. Access requirements (stairs, elevators, narrow doorways) must be disclosed at time of order to avoid additional fees or delivery refusal.
8. Returns, Refunds, and Exchanges
8.1 Return Policy Overview
Most Products may be returned within 30 days of delivery for a refund or exchange, subject to conditions. Products must be unused, in original packaging, with all accessories, manuals, and documentation. Certain Products are non-returnable, including opened software, custom-configured items, clearance products, and items marked as final sale.
Return Eligibility Requirements:
- Product must be in new, unused condition with no signs of wear or installation
- Original packaging must be intact, undamaged, and include all inserts and protective materials
- All accessories, cables, manuals, warranty cards, and promotional items must be included
- Serial numbers and security seals must be intact and unaltered
- Product must not have been registered with the manufacturer (unless registration is automatic)
- No physical damage, scratches, dents, or cosmetic defects caused by customer
- Return must be initiated within 30 days of delivery date (not order date)
8.2 Non-Returnable Items
The following items are non-returnable and non-refundable under any circumstances:
- Opened software, digital downloads, license keys, and activation codes
- Custom-built, configured, or personalized products
- Products marked as "Final Sale", "Clearance", "As-Is", or "Non-Returnable"
- Consumable items (batteries, ink cartridges, toner) once opened
- Products with missing serial numbers or altered identification marks
- Items damaged due to misuse, abuse, or improper installation
- Products purchased through third-party marketplaces or unauthorized resellers
- Gift cards, prepaid cards, and digital currency
- Services, warranties, and extended protection plans after 30 days
- Hazardous materials and items restricted by carrier regulations
8.3 Return Authorization Process
All returns require prior authorization through our Return Merchandise Authorization (RMA) system. Returns shipped without an RMA number will be refused and returned to sender at customer's expense. To initiate a return:
- Log into your account and navigate to Order History
- Select the order containing the item(s) you wish to return
- Click "Request Return" and select the item(s) and reason for return
- Upload photos if returning due to defect or damage
- Submit the return request and await approval (typically 24-48 hours)
- Once approved, you will receive an RMA number and return shipping label (if applicable)
- Pack the item securely in original packaging with RMA number clearly visible
- Ship the item using the provided label or your preferred carrier
- Track your return shipment and retain proof of shipment
RMA numbers are valid for 14 days from issuance. Returns received after RMA expiration may be refused or subject to additional fees. Return shipping costs are the responsibility of the customer unless the return is due to our error, defective product, or damaged shipment.
8.4 Refund Processing and Timeline
Refunds are processed within 5-10 business days after receiving and inspecting the returned Product. The refund timeline consists of:
- Day 1-3: Return shipment received at our warehouse and logged into system
- Day 2-5: Product inspection and condition verification by quality control team
- Day 3-7: Refund approval and processing through payment system
- Day 5-10: Refund posted to original payment method
- Additional 3-7 days: Bank or credit card processing time (varies by institution)
Refunds are issued to the original payment method only. We cannot issue refunds to different payment methods, accounts, or recipients. Shipping charges are non-refundable unless the return is due to our error. Promotional discounts and coupons used on the original order may affect refund amount. If you paid with store credit or gift card, refund will be issued as store credit.
8.5 Restocking Fees
Restocking fees may apply to certain returns to cover inspection, repackaging, and inventory management costs:
- Standard Returns: 15% restocking fee for opened electronics and computer components
- Large Items: 20% restocking fee for items over 50 lbs or requiring special handling
- Custom Orders: 25-35% restocking fee for custom-configured or special-order items
- Bulk Orders: 20% restocking fee for wholesale or bulk quantity returns
- No Restocking Fee: Defective products, shipping errors, or damaged items
Restocking fees are deducted from the refund amount. Minimum restocking fee is $10. Maximum restocking fee is $500 per item. Restocking fees are non-negotiable and clearly disclosed during the return authorization process.
8.6 Defective or Damaged Products
If you receive a defective or damaged Product, contact us immediately with photos and detailed description of the issue. We will arrange for replacement, repair, or refund at our discretion. Claims for defective or damaged Products must be made within 48 hours of delivery for shipping damage, or within 30 days for manufacturing defects.
Defect/Damage Claim Requirements:
- Clear photos showing defect or damage from multiple angles
- Photos of product packaging showing any external damage
- Detailed written description of the issue and when it was discovered
- Copy of delivery receipt or tracking information
- Product serial number and model number
- Video demonstration of defect (for functional issues)
For shipping damage, you must note damage on delivery receipt and photograph damaged packaging before opening. Failure to document shipping damage may result in claim denial. For manufacturing defects discovered after initial use, we may require troubleshooting steps or diagnostic testing before authorizing return.
8.7 Exchanges and Replacements
Exchanges are available for defective products, incorrect items shipped, or size/color variations (where applicable). To request an exchange, follow the return authorization process and select "Exchange" as the reason. Exchanges are subject to product availability. If the replacement item is unavailable, you will receive a full refund or store credit at your choice.
Exchange shipping is free for defective or incorrect items. For preference-based exchanges (color, size), you are responsible for return shipping, and standard shipping charges apply to the replacement item. Exchanges must be for items of equal or lesser value. Price differences for higher-value exchanges must be paid before shipment.
8.8 International Returns
International returns are subject to additional requirements and restrictions. Customers are responsible for all return shipping costs, customs fees, duties, and taxes associated with returning products internationally. Returns must clear customs and be received at our facility within 45 days of RMA issuance. Products damaged or seized by customs during return shipment are not eligible for refund.
We recommend purchasing shipping insurance for international returns. Refunds for international orders will be issued in the original transaction currency. Currency exchange rate fluctuations between purchase and refund dates may result in different amounts when converted to your local currency.
8.9 Refused or Undeliverable Returns
Returns refused by our warehouse due to missing RMA number, expired RMA, improper packaging, or condition issues will be returned to sender at customer's expense. A $25 processing fee will be charged for refused returns. If return shipment is undeliverable to customer's address, the product will be held for 30 days before being disposed of or donated. No refund will be issued for undeliverable refused returns.

SPC acts as a facilitator between customers and manufacturers for warranty claims. We can provide: (a) proof of purchase documentation; (b) product serial number verification; (c) manufacturer contact information; (d) guidance on warranty claim procedures. However, SPC does not process warranty claims, authorize warranty repairs, or make warranty coverage decisions. All warranty determinations are made solely by the manufacturer.
9.6 Extended Warranty and Protection Plans
Extended warranty and protection plans are available for purchase at checkout for eligible products. These plans provide coverage beyond the manufacturer's standard warranty and may include:
- Extended coverage period (1-5 additional years)

Warranty coverage for international purchases may be limited or void depending on manufacturer policies. Some manufacturers offer international warranty coverage, while others provide warranty service only in the country of purchase. International warranty claims may require shipping products back to the country of purchase at customer's expense. Verify international warranty coverage before purchasing if you plan to use the product outside your country of residence.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT PRODUCTS WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.
9.10 Product Descriptions and Specifications
We attempt to provide accurate product descriptions, specifications, images, and technical information. However, we do not warrant that product descriptions, specifications, pricing, availability, or other content is accurate, complete, reliable, current, or error-free. Product images are for illustration purposes and may not reflect the exact product you receive. Actual product appearance, color, size, and specifications may vary from images and descriptions. Manufacturers may change product specifications, features, or designs without notice. We are not liable for discrepancies between product descriptions and actual products received.
9.11 Third-Party Product and Service Warranties

10. Limitation of Liability and Indemnification
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OF OR INABILITY TO USE THE PLATFORM OR PRODUCTS; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (C) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE PLATFORM; (D) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE TRANSMITTED TO OR THROUGH THE PLATFORM; (E) ANY ERRORS OR OMISSIONS IN ANY CONTENT OR FOR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE PLATFORM; AND/OR (F) THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY.
10.1 Maximum Liability Cap
In no event shall SPC's total aggregate liability to you for all damages, losses, and causes of action (whether in contract, tort including negligence, warranty, or otherwise) exceed the greater of: (a) the amount paid by you to SPC for the specific Product or service giving rise to the claim during the twelve (12) months preceding the claim; or (b) One Hundred United States Dollars ($100 USD). This limitation applies regardless of the number of claims or causes of action.
10.2 Basis of the Bargain
You acknowledge and agree that the limitations of liability set forth in this Section 10 are fundamental elements of the basis of the bargain between you and SPC, and that SPC would not be able to provide the Platform and services on an economically reasonable basis without these limitations. These limitations will apply even if SPC has been advised of the possibility of such damages and even if any limited remedy specified herein is found to have failed of its essential purpose.

Your sole remedy for issues with third-party products is against the vendor, not SPC.
10.6 Force Majeure and Uncontrollable Events
SPC shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

- War, terrorism, civil unrest, riots, or insurrection

- Your violation of any law, regulation, or third-party rights
- Your use or misuse of the Platform or Products
- Your breach of any representations or warranties made herein
- Any content you submit, post, or transmit through the Platform
- Your negligence or willful misconduct
- Any dispute between you and third-party vendors
- Your failure to comply with export control or trade regulations
This indemnification obligation survives termination of these Terms and your use of the Platform. SPC reserves the right to assume exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with SPC's defense of such claim.
10.8 Allocation of Risk
The limitations of liability and disclaimers in these Terms allocate the risks between you and SPC. This allocation is an essential element of the agreement between the parties. The limitations will apply even if any limited remedy fails of its essential purpose. You acknowledge that the prices charged by SPC reflect this allocation of risk and the limitations of liability specified herein.
10.9 Time Limitation on Claims
Any claim or cause of action arising out of or related to your use of the Platform or these Terms must be filed within one (1) year after the claim or cause of action arose, or be forever barred. This limitation period begins when you knew or should have known of the facts giving rise to the claim. Failure to file within this period constitutes a waiver of such claim.
10.10 No Liability for User Content
SPC is not liable for any user-generated content, reviews, comments, or communications posted on the Platform. We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any user content. You acknowledge that by using the Platform, you may be exposed to content that is offensive, harmful, inaccurate, or otherwise inappropriate. SPC has no obligation to monitor user content but reserves the right to remove content that violates these Terms.
10.11 Insurance and Risk Mitigation
You are solely responsible for obtaining appropriate insurance coverage for products purchased through the Platform. We strongly recommend purchasing shipping insurance for high-value items, business insurance for commercial use of products, and cyber insurance for technology products. SPC does not provide insurance coverage and is not responsible for uninsured losses.
11. Intellectual Property Rights

"SPC Global Electronic," "SPC," the SPC logo, and other SPC marks, graphics, logos, page headers, button icons, scripts, and service names are registered and unregistered trademarks, service marks, or trade dress of SPC Global Electronic in the United States and/or other countries. You may not use these marks without prior written permission from SPC. All other trademarks, product names, company names, logos, and service marks mentioned on the Platform are the property of their respective owners and may not be used without permission from the trademark owner.
Trademark Usage Restrictions:
- No use of SPC trademarks in domain names, social media handles, or business names
- No use of SPC trademarks in advertising or promotional materials without authorization
- No use of SPC trademarks in a manner that implies endorsement or affiliation
- No use of confusingly similar marks or variations of SPC trademarks

- No registration of SPC trademarks as domain names or social media accounts
11.4 Copyright Infringement and DMCA Compliance
SPC respects the intellectual property rights of others and expects users to do the same. If you believe that any content on the Platform infringes your copyright, please provide our Copyright Agent with the following information in accordance with the Digital Millennium Copyright Act (DMCA):

SPC does not claim ownership of third-party intellectual property and is not responsible for third-party infringement claims. If you believe third-party content on our Platform infringes your rights, follow the DMCA procedures outlined above. 13. Termination and Suspension
13.1 Termination by User
You may terminate your Account at any time by contacting customer support at support@spcglobalelectronic.com or through your account settings. Upon termination request, your account will be deactivated within 24-48 hours. Your right to use the Platform will immediately cease upon termination. You remain responsible for all charges, obligations, and liabilities incurred prior to termination, including pending orders, outstanding payments, and any fees or penalties.
Account Closure Process:
- Submit account closure request through customer support or account settings
- Complete or cancel all pending orders and transactions
- Resolve any outstanding disputes, chargebacks, or payment issues
- Withdraw or forfeit remaining wallet balance (subject to withdrawal limits)
- Confirm closure request via email verification
- Account deactivated within 24-48 hours of confirmation
- Personal data deleted or anonymized per data retention policy (30-90 days)
13.2 Termination by SPC
We may suspend, disable, or terminate your Account and access to the Platform immediately, without prior notice or liability, for any reason at our sole discretion, including but not limited to:
- Violation of these Terms and Conditions or any applicable laws
- Fraudulent, abusive, or illegal activity
- Providing false, inaccurate, or misleading information
- Multiple chargebacks, payment disputes, or failed payments
- Harassment, threats, or abusive behavior toward other users or staff
- Attempting to circumvent security measures or access restrictions
- Unauthorized use of another person's account or identity theft
- Violation of intellectual property rights
- Engaging in prohibited activities (reselling, scraping, unauthorized commercial use)
- Extended period of account inactivity (24+ months)
- Risk to platform security, integrity, or other users
- Failure to complete KYC verification when required
Upon termination by SPC, all licenses and rights granted to you will immediately cease. We may retain certain information as required by law or for legitimate business purposes.
13.3 Temporary Suspension
We may temporarily suspend your account pending investigation of suspected violations, security concerns, or fraud. During suspension:
- You cannot place new orders or access certain account features
- Pending orders may be cancelled or held
- Wallet withdrawals may be restricted
- You will be notified of suspension reason and expected duration
- You may be required to provide additional verification or documentation
- Suspension may be lifted upon satisfactory resolution of the issue
- Repeated suspensions may result in permanent termination
Typical suspension periods range from 7-30 days depending on the severity of the issue and investigation complexity. You have the right to appeal suspensions by contacting customer support with supporting documentation.
13.4 Effect of Termination
Upon termination of your account (whether by you or SPC), the following consequences apply:
- All rights and licenses granted to you under these Terms immediately terminate
- You must cease all use of the Platform and any downloaded materials
- You lose access to your account, order history, and saved information
- Pending orders may be cancelled (refunds issued per our refund policy)
- Wallet balance may be forfeited or subject to withdrawal restrictions
- Unused gift cards, store credit, and promotional codes expire immediately
- Active subscriptions or memberships are cancelled without refund
- You remain liable for all obligations incurred prior to termination
- Outstanding debts, fees, or penalties remain due and payable
- Warranty claims and return rights may be affected
13.5 Survival of Terms
The following provisions survive termination of these Terms and your use of the Platform:
- Sections related to ownership and intellectual property rights
- Warranty disclaimers and limitations of liability
- Indemnification obligations
- Dispute resolution and arbitration provisions
- Governing law and jurisdiction
- Payment obligations for services rendered prior to termination
- Confidentiality obligations

13.6 Data Deletion and Retention After Termination
Upon account termination, we will delete or anonymize your personal data in accordance with our data retention policy and applicable laws. However, certain information may be retained for:
- Legal compliance (tax records, transaction history): 7-10 years
- Fraud prevention and security (flagged accounts): Indefinitely
- Dispute resolution (pending claims or litigation): Until resolution + 1 year
- Backup systems (archived data): Up to 180 days
- Aggregated analytics (anonymized data): Indefinitely

13.7 Reactivation and New Account Creation
Voluntarily closed accounts may be reactivated within 90 days by contacting customer support. After 90 days, you must create a new account. Accounts terminated by SPC for violations cannot be reactivated. Creating new accounts to circumvent termination is prohibited and may result in legal action. We reserve the right to refuse service to anyone for any reason.
13.8 Consequences of Fraudulent Termination
If your account is terminated due to fraud, criminal activity, or severe violations, additional consequences may include:
- Permanent ban from creating new accounts
- Reporting to law enforcement authorities
- Reporting to credit bureaus and fraud databases
- Legal action to recover damages and losses
- Cooperation with investigations by authorities
- Forfeiture of wallet balance and pending refunds
- Blacklisting of payment methods, addresses, and contact information
14. Dispute Resolution and Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY HEAR YOUR CLAIMS. IT CONTAINS PROCEDURES FOR MANDATORY BINDING ARBITRATION AND A CLASS ACTION WAIVER.
14.1 Informal Dispute Resolution
Before filing any formal claim or initiating arbitration, you agree to first attempt to resolve the dispute informally by contacting us at support@spcglobalelectronic.com or legal@spcglobalelectronic.com. Your notice must include:
- Your name, address, email, and phone number
- Account information and order number (if applicable)
- Detailed description of the dispute and the harm suffered
- Specific relief or resolution you are seeking
- Supporting documentation and evidence
We will attempt to resolve the dispute informally within 60 days of receiving your notice. During this period, both parties agree to negotiate in good faith. If we cannot resolve the dispute within 60 days, either party may initiate formal arbitration proceedings. This informal resolution requirement is a condition precedent to filing any arbitration or legal claim.
14.2 Binding Arbitration Agreement
Any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or your relationship with SPC (including disputes about the validity, scope, or enforceability of this arbitration agreement) shall be resolved through final and binding arbitration rather than in court, except as provided in Section 14.7 (Exceptions to Arbitration).
Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts. This arbitration agreement shall survive termination of these Terms and your relationship with SPC.
14.3 Arbitration Rules and Procedures
Arbitration shall be conducted in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA) or, for international disputes, the International Chamber of Commerce (ICC) Rules of Arbitration. Key procedural terms:
- Arbitration Provider: AAA (domestic disputes) or ICC (international disputes)
- Number of Arbitrators: One arbitrator for claims under $250,000; three arbitrators for larger claims
- Language: English
- Location: Arbitration will be conducted in the county where you reside (for U.S. residents) or via video conference
- Governing Rules: AAA Commercial Arbitration Rules or ICC Rules, as applicable
- Discovery: Limited discovery as determined by the arbitrator
- Hearing: In-person, telephonic, or video conference at arbitrator's discretion
- Decision: Arbitrator's decision is final and binding, with very limited appeal rights
14.4 Arbitration Costs and Fees
Payment of arbitration fees and costs shall be governed by the applicable arbitration rules. For claims under $10,000, SPC will pay all arbitration fees. For claims between $10,000 and $75,000, fees will be split equally. For claims over $75,000, fees will be allocated according to arbitration rules. Each party bears its own attorney fees unless the arbitrator awards attorney fees to the prevailing party as permitted by law.
If you prevail in arbitration and are awarded more than the last written settlement offer made by SPC, SPC will pay your reasonable attorney fees and costs. If the arbitrator finds your claim frivolous or brought for improper purpose, you may be required to reimburse SPC's arbitration fees and attorney costs.
14.5 CLASS ACTION WAIVER
YOU AND SPC AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE OR CONSOLIDATED PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.
If this class action waiver is found to be unenforceable, then the entirety of this arbitration agreement shall be null and void, and the dispute shall be resolved in court rather than arbitration.
14.6 Opt-Out Right
You have the right to opt out of this arbitration agreement by sending written notice to SPC within 30 days of first accepting these Terms. Your opt-out notice must include your name, address, email, account information, and a clear statement that you wish to opt out of the arbitration agreement. Send opt-out notices to:

If you opt out, you and SPC will not be bound by this arbitration agreement, but all other terms of these Terms will continue to apply. Opting out does not affect any previous arbitration agreements you may have had with SPC.
14.7 Exceptions to Arbitration
Notwithstanding the arbitration agreement, either party may seek relief in court for the following matters:
- Intellectual property disputes (trademark, copyright, patent, trade secret infringement)
- Claims seeking injunctive or equitable relief to prevent actual or threatened infringement
- Small claims court actions (if claim qualifies and remains in small claims court)
- Claims for public injunctive relief
- Disputes that cannot be arbitrated under applicable law
14.8 Severability of Arbitration Provisions
If any portion of this arbitration agreement is found to be unenforceable or unlawful, the remainder of the arbitration agreement shall continue in full force and effect. If the class action waiver is found unenforceable, the entire arbitration agreement shall be void, and disputes shall be resolved in court.
14.9 Confidentiality of Arbitration
All aspects of the arbitration proceeding, including the hearing, testimony, evidence, and arbitrator's decision, shall be confidential and may not be disclosed to third parties except as required by law, to enforce the arbitration award, or with mutual written consent of the parties. This confidentiality obligation survives the conclusion of arbitration.
14.10 Modification of Arbitration Agreement
If SPC makes any material changes to this arbitration agreement (other than changes to contact information), you may reject the change by sending written notice within 30 days of the change. Rejection of changes does not affect your obligation to arbitrate disputes under the previous version of the arbitration agreement.
15. Governing Law and Jurisdiction
15.1 Applicable Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms. Your use of the Platform may also be subject to other local, state, national, or international laws depending on your location and the nature of your transactions.
15.2 Jurisdiction and Venue
For disputes not subject to arbitration (as outlined in Section 14.7), you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, United States. You waive any objection to venue in these courts and any claim that such courts are an inconvenient forum. This jurisdiction clause does not apply to small claims court actions or intellectual property disputes, which may be brought in any court of competent jurisdiction.
15.3 International Users and Compliance
If you access the Platform from outside the United States, you are responsible for compliance with all local laws and regulations, including but not limited to:
- Import/export regulations and customs requirements
- Consumer protection laws in your jurisdiction
- Data protection and privacy regulations (GDPR, CCPA, etc.)
- Tax obligations and VAT/GST requirements
- Currency exchange and foreign transaction regulations
- Product safety and certification standards
- Warranty and return rights under local law
Where local laws provide greater consumer protections than these Terms, such local laws shall prevail to the extent required by law. Nothing in these Terms limits your statutory rights as a consumer that cannot be waived by contract.
15.4 Export Controls and Trade Compliance
You agree to comply with all applicable export control laws, trade sanctions, and regulations, including those administered by the U.S. Department of Commerce, U.S. Department of Treasury (OFAC), and U.S. Department of State. You represent and warrant that:
- You are not located in, under the control of, or a national or resident of any country subject to U.S. trade embargo or sanctions (including Cuba, Iran, North Korea, Syria, Crimea region)
- You are not listed on any U.S. government list of prohibited or restricted parties (SDN List, Entity List, Denied Persons List)
- You will not use products for prohibited end-uses (nuclear, chemical, biological weapons, missile technology)
- You will not re-export or transfer products to prohibited countries, entities, or individuals
- You will obtain all necessary export licenses and authorizations
Violation of export control laws may result in criminal and civil penalties, including fines and imprisonment. SPC reserves the right to refuse or cancel orders to comply with export control regulations.
15.5 Sanctions and Restricted Parties Screening
SPC conducts automated and manual screening of customers against sanctions lists and restricted party databases. Orders may be delayed, cancelled, or rejected if screening identifies potential sanctions violations or restricted party matches. We may request additional information to verify your identity and compliance status. Providing false information to circumvent sanctions screening is a criminal offense.
15.6 Jurisdiction-Specific Provisions
Additional terms may apply based on your jurisdiction:
European Union Users:
- GDPR data protection rights apply (see Section 12.9)
- 14-day cooling-off period for distance sales (right of withdrawal)
- Two-year minimum warranty for consumer goods
- Disputes may be submitted to EU Online Dispute Resolution platform
California Users:
- CCPA privacy rights apply (see Section 12.10)
- Proposition 65 warnings for products containing listed chemicals
- California Civil Code Section 1789.3 consumer rights
Australian Users:
- Australian Consumer Law guarantees apply
- Goods must be of acceptable quality, fit for purpose, and match description
- Remedies for major and minor failures
Canadian Users:
- PIPEDA privacy protections apply
- Provincial consumer protection laws apply
- French language requirements in Quebec
15.7 Language and Translation
These Terms are drafted in English. Any translations provided are for convenience only. In the event of conflict between the English version and any translation, the English version shall prevail. Legal proceedings and arbitration shall be conducted in English unless otherwise required by applicable law.
15.8 Compliance with Laws
You agree to comply with all applicable laws, regulations, and ordinances in connection with your use of the Platform and purchase of products, including but not limited to:
- Consumer protection and fair trading laws
- Anti-money laundering (AML) and counter-terrorism financing (CTF) regulations
- Anti-corruption and anti-bribery laws (FCPA, UK Bribery Act)
- Data protection and privacy laws
- Intellectual property laws
- Product safety and regulatory compliance
- Environmental regulations and e-waste disposal
- Labor and employment laws (for business purchases)
16. Miscellaneous Provisions
16.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms applicable to specific services, constitute the entire agreement between you and SPC regarding the Platform and supersede all prior agreements and understandings.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be deemed modified to the extent necessary to make it valid and enforceable.
16.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
16.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction. Any attempted assignment in violation of this provision is void.
16.5 Force Majeure
SPC shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
